Villanueva Ortiz Abogados advises Banco Sabadell and Banco Actinver on a syndicated loan for the indirect acquisition of various real estate projects in Mexico.
Partner Eduardo Villanueva Ortiz, associate Liam Sebastián Remberg Del Toro, and law clerks Paola Guadalupe Medina Núñez and José Emilio Lezama Uribe advised Banco Sabadell, S.A., Institución de Banca Múltiple, and Banco Actinver, S.A., Institución de Banca Múltiple, Grupo Financiero Actinver, as creditors, in a syndicated loan in which Sabadell acted as lead structuring agent and sole coordinator, as well as administrative and guarantee agent.
The financing was granted to a subsidiary of JYSA Grupo Inmobiliario, a group with more than 40 years of experience in the Mexican real estate market and a portfolio of over 50 properties nationwide, including offices, industrial buildings, residential projects, land, and commercial spaces.
The loan proceeds were used for the indirect acquisition of various real estate projects in Mexico, including a portfolio of more than 15 properties, primarily industrial warehouses located in the State of Mexico, as well as a corporate building in Mexico City.
The collateral structure was supported, among other elements, by cash flows from real estate projects located in Mexico City and Tijuana, Baja California, integrating flows from more than 200 lease agreements. This structure allowed the borrower to leverage new developments with already stabilized assets, strengthening its growth capacity and portfolio optimization.
This transaction reaffirms Banco Sabadell's strategic role in financing industrial projects and real estate portfolios in Mexico, while strengthening JYSA Grupo Inmobiliario's position as one of the most solid and experienced players in the national real estate sector.
