Strategic Financing for Airport Infrastructure

Villanueva Ortiz Abogados advises NAFIN on the granting of a loan in favor of Mota-Engil Mexico for the Development of Airport Infrastructure in Mexico.

Partner Eduardo Villanueva Ortiz, associate Liam Sebastián Remberg Del Toro, and law clerk Casilda Rodríguez-Peña Monterrubio, advised and represented Nacional Financiera, Sociedad Nacional de Crédito, Institución de Banca de Desarrollo (“NAFIN”), in the granting of a loan to Mota-Engil México, S.A.P.I. de C.V. (“MEM”), the Mexican subsidiary of Mota-Engil, one of the world's leading engineering and construction groups, with a presence in Europe, Latin America, and Africa, and a solid track record in the development and execution of large-scale infrastructure projects in the transportation, energy, water, and building sectors. In Mexico, Mota-Engil has established itself as a key player in strategic public and private infrastructure projects, participating in high-impact works for the country's economic development and connectivity.

The loan proceeds were allocated to MEM's general corporate purposes, including intercompany loans to Mota-Engil Aeropuertos, S.A.P.I. de C.V., to finance the expansion and construction of the Puerto Escondido and Riviera Nayarit International Airports, two strategic projects that will strengthen air connectivity, boost regional tourism development, and consolidate the infrastructure of the Mexican Pacific coast.

The transaction involved structuring a financial arrangement aligned with development banking standards, incorporating a robust guarantee package that includes, among other things, the establishment of a pledge on a reserve account for debt service and the execution of a mandate agreement for the control and administration of accounts, ensuring the proper application of cash flows and the project's financial discipline.

NAFIN, as a key development bank in Mexico, plays a fundamental role in financing strategic projects for the country's economic growth. This transaction reaffirms its commitment to promoting high-impact infrastructure and strengthening regional development.
